Cyber Rebels Referral Partner Agreement


This Referral Partner Agreement is made between Cyber Rebels Ltd and the referral partner named at the end of this document.

1. Referral Arrangement

Cyber Rebels Ltd appoints the referral partner on a non-exclusive basis to introduce potential customers and, where approved, promote eligible Cyber Rebels services using an assigned referral link or referral code.

The referral partner will receive a commission of 10% for each Qualifying Referral.

The referral partner is not required to generate a minimum number or value of referrals.

Cyber Rebels is not required to accept, quote for, contract with or provide services to any referred customer.

2. Referral Links and Codes

Cyber Rebels may provide the referral partner with an affiliate account, tracked referral link, referral code and access to referral reporting.

Referral links, codes and account access are provided only to the approved referral partner. They must not be sold, transferred, shared with another organisation or used to generate false or self-referrals.

The referral partner must keep account login details secure and notify Cyber Rebels promptly if they believe an account, referral link or referral code is being misused.

Cyber Rebels may suspend referral tracking while suspected misuse, fraud, technical irregularities or breaches of this agreement are investigated.

3. Promotion

The referral partner must use accurate and approved information when promoting Cyber Rebels.

The referral partner must not make guarantees, provide cybersecurity advice on behalf of Cyber Rebels, alter pricing or service details, or claim authority to enter into agreements for Cyber Rebels.

Public promotional content must clearly disclose the commercial relationship and comply with applicable advertising, consumer protection, privacy and platform rules.

The referral partner must not use unsolicited bulk messaging, spam, misleading claims, artificial traffic, forced clicks, hidden links or other methods intended to manipulate referral attribution.

Cyber Rebels may ask the referral partner to amend or remove promotional content that is inaccurate, outdated, misleading, unlawful or inconsistent with the Cyber Rebels brand.

4. Customer Relationship

All customer contracts, quotations, bookings, payments and delivery arrangements are handled directly by Cyber Rebels Ltd.

Cyber Rebels controls whether a customer is accepted, the services offered, pricing, discounts, delivery arrangements, invoicing and customer support.

The referral partner must not collect payments, negotiate terms, offer discounts or make commitments on behalf of Cyber Rebels unless separately authorised in writing.

5. Qualifying Referrals

A referral will qualify for commission only where all of the following conditions are met:

  • the customer is genuinely new to Cyber Rebels and is not already an active customer or prospect;
  • the customer is attributed to the referral partner through the assigned referral link, referral code or another method accepted by Cyber Rebels;
  • the customer purchases an eligible Cyber Rebels service;
  • Cyber Rebels accepts the booking or service agreement;
  • Cyber Rebels receives full cleared payment from the customer;
  • any applicable cancellation, refund or chargeback period has expired; and
  • the referral has been generated in accordance with this agreement and the Referral Partner Terms and Conditions.

A click, impression, enquiry, form submission, quotation request or sales conversation does not by itself qualify for commission.

A referral will not qualify where the booking is cancelled, refunded, unpaid, fraudulent, generated through misleading promotion or attributed through manipulated or artificial activity.

Unless agreed otherwise in writing, commission applies only to the first qualifying purchase made by the referred customer.

Where more than one referral partner claims the same customer, Cyber Rebels will make the final attribution decision using referral links, referral codes, customer records and any other relevant evidence.

6. Attribution

Referrals will normally be attributed using the referral partner’s tracked link or referral code.

Cyber Rebels may manually attribute a referral where reliable evidence shows that the referral partner was responsible for the introduction.

The referral partner must raise any attribution query within 30 days of becoming aware of the issue.

Cyber Rebels is not responsible for lost attribution caused by deleted cookies, privacy settings, browser restrictions, ad-blocking technology, incorrect customer information or the customer failing to use the assigned referral link or code.

7. Commission and Payment

The referral partner will receive commission of 10% for each Qualifying Referral.

Unless agreed otherwise in writing, commission will be calculated on the net amount received by Cyber Rebels, excluding:

  • VAT;
  • travel and accommodation;
  • venue costs;
  • examination and certification fees;
  • third-party charges;
  • refunds, credits and discounts; and
  • any other amount agreed to be excluded.

Commission becomes payable only after Cyber Rebels has received full cleared payment and any applicable cancellation, refund or chargeback period has expired.

Cyber Rebels may require the referral partner to provide a valid invoice, bank details, tax information, proof of identity or other information reasonably required before payment is made.

The referral partner is responsible for its own income tax, corporation tax, National Insurance, VAT and any other liabilities arising from commission payments.

Cyber Rebels may withhold payment while attribution, customer payment, suspected fraud, misuse or a material breach of this agreement is being investigated.

Cyber Rebels may deduct or recover commission previously paid where the related customer payment is later refunded, reversed, charged back or found to be fraudulent.

8. Advertising Disclosure

The referral partner must ensure that affiliate or referral promotions are clearly and prominently identifiable as advertising or commercially incentivised content.

Any disclosure must be easy to understand, visible before or at the point the audience engages with the promotion and appropriate to the platform and format being used.

The referral partner must comply with applicable Advertising Standards Authority, Committee of Advertising Practice, consumer protection and platform disclosure requirements.

9. Prohibited Activity

The referral partner must not:

  • send unlawful unsolicited marketing or spam;
  • use purchased, scraped or unlawfully obtained contact lists;
  • impersonate Cyber Rebels;
  • register domain names, social accounts or business names containing Cyber Rebels without permission;
  • offer unauthorised discounts, cashback, incentives or prizes;
  • use cookie stuffing, forced clicks, hidden links, misleading redirects or artificial traffic;
  • generate self-referrals or false referrals;
  • interfere with another referral partner’s attribution;
  • engage another publisher, sub-affiliate or third party without written permission; or
  • do anything likely to damage Cyber Rebels, its customers or its reputation.

10. Customer Service and Delivery

Cyber Rebels retains full control over customer suitability, service scope, pricing, delivery arrangements and contractual terms.

Cyber Rebels may decline a referral or booking where there are concerns about suitability, capacity, payment, legal compliance, safeguarding or reputational risk.

Cyber Rebels does not guarantee that any referral will result in a booking or commission payment.

11. Intellectual Property and Brand Use

All intellectual property rights in the Cyber Rebels name, branding, website, training materials, written content, graphics, videos, resources and approved promotional materials remain owned by Cyber Rebels Ltd or its licensors.

Cyber Rebels grants the referral partner a limited, revocable, non-exclusive and non-transferable right to use approved promotional materials solely for the purpose of promoting the referral arrangement.

The referral partner must not:

  • alter the Cyber Rebels logo or brand assets without permission;
  • remove copyright, trademark or ownership notices;
  • copy, sell, license or distribute Cyber Rebels training materials;
  • use Cyber Rebels intellectual property to create a competing service;
  • claim ownership of Cyber Rebels materials; or
  • continue using Cyber Rebels intellectual property after this agreement ends.

Any goodwill arising from the referral partner’s use of Cyber Rebels branding belongs to Cyber Rebels Ltd.

12. Records and Compliance

The referral partner must comply with all laws and regulations relevant to its activities under this agreement, including those relating to advertising, consumer protection, direct marketing, privacy, anti-bribery, fraud, tax and intellectual property.

The referral partner must keep reasonable records showing how material referrals and approved promotional activity were generated.

Cyber Rebels may request information reasonably required to investigate attribution disputes, complaints, suspected fraud, misleading promotion, data protection concerns or breaches of this agreement.

13. Data Protection

Both parties must comply with applicable UK data protection and privacy law, including the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations 2003.

Unless agreed otherwise in writing, each party acts as an independent controller for personal data it collects and uses for its own purposes.

The referral partner must not provide personal data about a prospective customer unless it has a lawful basis for doing so, the sharing is fair and transparent, and only the minimum necessary information is provided.

Wherever practical, prospective customers should contact Cyber Rebels directly using the assigned referral link, referral code or approved contact route.

The referral partner must not upload mailing lists, audience data, special category data, criminal offence data or unrelated personal information to the referral platform.

Each party is responsible for keeping personal data secure, limiting access to authorised people, retaining data only as long as necessary and responding to data protection requests relating to its own processing.

The referral partner must notify Cyber Rebels without undue delay if a personal data breach or security incident may affect Cyber Rebels, a referred customer or the referral platform.

14. Confidentiality

Each party must keep confidential any non-public commercial, financial, technical, operational, customer or business information received from the other party.

Confidential information does not include information that:

  • was already lawfully known to the receiving party;
  • becomes public other than through a breach of this agreement;
  • is lawfully received from a third party without confidentiality restrictions; or
  • is independently developed without using the other party’s confidential information.

The referral partner must not publicly disclose customer identities, confidential referral information, non-public commission arrangements, customer communications or confidential commercial discussions without written permission.

The confidentiality obligations in this section continue after this agreement ends.

15. Warranties

Each party confirms that it has authority to enter into this agreement.

The referral partner confirms that:

  • the information it has supplied is accurate;
  • it owns or has permission to use its promotional channels and content;
  • its promotional activity will comply with this agreement and applicable law;
  • it will not make unauthorised claims or commitments;
  • it will not knowingly generate fraudulent or misleading referrals; and
  • it will notify Cyber Rebels of any material change affecting the referral arrangement.

16. Independent Contractor

The referral partner acts as an independent contractor.

Nothing in this agreement creates an employment relationship, worker relationship, legal partnership, joint venture, agency, franchise or fiduciary relationship.

The referral partner has no authority to bind Cyber Rebels, enter into contracts on its behalf or incur obligations in its name.

The referral partner is responsible for its own staff, contractors, costs, insurance, equipment, systems, taxes and business activities.

17. General Conduct

The referral partner must act honestly, responsibly and professionally when referring or promoting Cyber Rebels.

Neither party may offer, promise, give, request or accept a bribe or improper inducement in connection with this agreement.

18. Liability

Nothing in this agreement limits or excludes either party’s liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • liability that cannot lawfully be limited or excluded; or
  • any other matter for which exclusion is prohibited by law.

Subject to the paragraph above, neither party will be liable to the other for loss of profit, loss of revenue, loss of anticipated savings, loss of business opportunity, loss of goodwill, loss or corruption of data, or indirect or consequential loss.

Subject to the exclusions above, Cyber Rebels’ total aggregate liability arising from or connected with this agreement will not exceed the greater of:

  • the total commission paid or payable to the referral partner during the 12 months before the event giving rise to the claim; or
  • £1,000.

The liability cap does not apply to the referral partner’s liability arising from misuse of Cyber Rebels intellectual property, unlawful or misleading promotion, breach of confidentiality, breach of data protection obligations, fraud, deliberate attribution manipulation, bribery or an obligation to repay commission.

19. Indemnity

The referral partner will indemnify Cyber Rebels against reasonable losses, damages, liabilities, regulatory penalties, costs and expenses arising directly from:

  • promotional material created or published by the referral partner that was not approved by Cyber Rebels;
  • false, misleading or unauthorised representations made by the referral partner;
  • infringement of a third party’s intellectual property rights by the referral partner;
  • unlawful direct marketing undertaken by the referral partner;
  • the referral partner’s breach of data protection law; or
  • fraudulent or deliberately manipulated referrals.

Cyber Rebels must notify the referral partner promptly of a relevant third-party claim and take reasonable steps to reduce its losses.

20. Term

This agreement begins on the date entered at the end of the document and continues until terminated in accordance with section 21.

Cyber Rebels may periodically review the referral partner’s account, promotional activity and suitability for the programme.

21. Suspension and Termination

Either party may terminate this agreement at any time by giving 30 days’ written notice.

Cyber Rebels may suspend the referral account or terminate this agreement immediately where the referral partner:

  • materially breaches this agreement;
  • engages in fraud, attempted fraud or attribution manipulation;
  • publishes unlawful, misleading or seriously inaccurate material;
  • damages or is reasonably likely to damage Cyber Rebels’ reputation;
  • misuses Cyber Rebels intellectual property;
  • breaches confidentiality or data protection obligations;
  • engages in spam or prohibited promotional activity;
  • fails to correct or remove content when reasonably requested;
  • becomes insolvent or ceases trading; or
  • provides materially false information.

Suspension does not itself terminate this agreement.

22. Consequences of Termination

When this agreement ends, the referral partner must immediately:

  • stop presenting itself as a Cyber Rebels referral partner;
  • stop using tracked referral links and referral codes;
  • remove Cyber Rebels branding and promotional materials from its channels;
  • stop using approved promotional materials; and
  • return or securely delete confidential information where reasonably requested.

Unless termination results from fraud, unlawful activity, serious misconduct or a material breach connected with the referral, the referral partner will remain eligible for commission on Qualifying Referrals properly attributed before termination.

Termination does not affect rights, obligations or liabilities that arose before the agreement ended.

Sections concerning intellectual property, data protection, confidentiality, liability, indemnity, repayment of commission and governing law will continue after termination.

23. Changes to the Programme

Cyber Rebels may change eligible services, commission rates for future referrals, attribution periods, referral platform functionality, approved materials and programme procedures.

Cyber Rebels will give reasonable notice of any material commercial change.

Changes will not reduce commission already earned on a Qualifying Referral.

24. Referral Partner Terms and Conditions

This agreement operates alongside the Cyber Rebels Referral Partner Terms and Conditions:

If there is a conflict, this signed agreement will take priority.

25. General

This agreement and the Referral Partner Terms and Conditions constitute the entire agreement between the parties concerning the referral relationship.

Any change to this signed agreement must be agreed in writing by both parties, except for permitted programme or website terms updates.

If any provision is found invalid or unenforceable, the remaining provisions will continue in force.

The referral partner may not assign, transfer or subcontract its rights or obligations without Cyber Rebels’ written permission.

A person who is not a party to this agreement has no right to enforce it.

26. Governing Law

This agreement is governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over any dispute arising from or connected with this agreement.

Before commencing court proceedings, the parties will attempt in good faith to resolve the dispute through direct discussion.

Agreement

By signing this document, the referral partner confirms that they have read, understood and agree to this Referral Partner Agreement and the Cyber Rebels Referral Partner Terms and Conditions.
