Full details of the Service inclusions are shown on the Cyber Rebels Protect+ product page at the time of purchase.

2. Term and Renewal

Protect+ subscriptions have a minimum 12-month term.

After the initial 12-month period, subscriptions renew automatically on a monthly rolling basis unless cancelled with at least 30 days’ written notice.

The Client may cancel the subscription early. However, an early termination fee equal to the remaining fees due for the minimum term, or the remainder of the current subscription period, whichever is shorter, will apply.

For example, where a Client cancels after 6 months of a 12-month minimum term, the remaining 6 months of fees remain payable in full.

3. Fees and Payment

Fees are payable either monthly in advance or as a single 12-month upfront payment, depending on the option selected at checkout.

You authorise Cyber Rebels Ltd to process recurring payments until cancellation in accordance with these Terms of Service.

All fees paid, whether monthly or annual, are non-refundable unless expressly stated otherwise in these Terms of Service.

No refunds are provided for unused support time, unattended sessions, cancelled sessions, unscheduled sessions, unused resources, unused plan inclusions or services not used by the Client during the relevant subscription period.

For annual upfront payments, the full 12-month fee is due at the point of purchase and remains non-refundable, except in the case of material breach by Cyber Rebels Ltd.

Services scheduled during any period of suspension arising from non-payment are not automatically reallocated, credited or carried forward once payments are brought up to date.

If a payment is missed, declined or not received by the due date, Cyber Rebels Ltd reserves the right to charge statutory interest at 8% above the Bank of England base rate, together with fixed compensation and reasonable recovery costs, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Where payments remain overdue, Cyber Rebels Ltd may temporarily suspend access to Protect+ services until the account is brought up to date.

Cyber Rebels Ltd may review and update Protect+ subscription fees from time to time. Any changes to pricing will not apply during an active minimum term and will only take effect at the end of the minimum term or prior to a renewal period, with reasonable written notice provided to the Client.

All fees are exclusive of VAT unless otherwise stated.

4. Use of Monthly Support Time

Monthly support time is provided as a flexible support allowance within the selected Protect+ tier.

Support time may be used for agreed Protect+ activities, including new starter onboarding, small-group guidance, awareness questions, scenario review, refresher activity, awareness communications, policy-in-practice queries or light advisory input.

Monthly support time must be scheduled and used within the relevant subscription month unless otherwise agreed in writing by Cyber Rebels Ltd.

Unused monthly support time does not roll over, accrue, convert into credit, reduce future fees or create an entitlement to additional services unless expressly agreed in writing.

Support time is subject to reasonable scheduling availability and must be requested with enough notice to allow Cyber Rebels Ltd to deliver the support effectively.

5. Pre-Delivery Requirements for Protect+ Training Sessions

Training sessions and support activities included within a Protect+ subscription will only be delivered when subscription payments are fully up to date and any required pre-session information has been provided.

Required information may include attendee lists, access details, delivery requirements, security requirements, topic preferences, organisational context or other information reasonably needed to deliver the Service.

Cyber Rebels Ltd may decline to deliver a session or support activity if payments are overdue or the required information has not been supplied.

6. No Refunds

Except where expressly stated otherwise in these Terms of Service, all Protect+ fees are non-refundable.

This includes, without limitation, fees paid for unused services, unused monthly support time, unattended sessions, cancelled sessions, rescheduled sessions, suspension due to non-payment or early termination by the Client.

7. Client Responsibilities

You agree to:

  • Provide accurate participant numbers and attendee details for all sessions where required.
  • Give reasonable notice for onboarding, awareness support or advisory support requests.
  • Give at least 14 days’ notice to reschedule booked training sessions where possible.
  • Ensure attendees are available and able to participate in training.
  • Provide a suitable online or in-person environment for delivery.
  • Provide any information reasonably required for Cyber Rebels Ltd to prepare and deliver the Service.

Cyber Rebels Ltd reserves the right to refuse, suspend or withdraw delivery of services where behaviour by the Client or participants is abusive, unsafe, disruptive or otherwise prevents reasonable delivery of the Service.

In such circumstances, fees remain payable and no refunds apply.

8. Limits and Additional Services

Participation limits, support time and service inclusions are capped as outlined in your selected Protect+ tier.

Additional training sessions, additional support time, extra participants or services outside the scope of your selected tier may be purchased at Cyber Rebels Ltd’s prevailing rates.

Any services requested outside the scope of the selected Protect+ tier must be agreed separately and may be subject to additional terms.

9. Service Availability

Cyber Rebels Ltd will deliver sessions and support activities on agreed dates where possible, but reserves the right to reschedule in cases of trainer illness, technical issues, force majeure or other circumstances beyond its reasonable control.

Where rescheduling is necessary, Cyber Rebels Ltd will provide an alternative date within a reasonable timeframe.

Cyber Rebels Ltd may deliver services through suitably qualified trainers or associates. Where substitution is necessary, Cyber Rebels Ltd will ensure that equivalent expertise and continuity of delivery are maintained.

10. Data Protection and Confidentiality

Cyber Rebels Ltd will process personal data solely for the purpose of delivering training and support under this agreement, in accordance with UK GDPR and the Data Protection Act 2018.

Both parties agree to maintain the confidentiality of all shared information.

All training materials, content, resources, methodologies, scenarios and supporting materials provided under Protect+ remain the intellectual property of Cyber Rebels Ltd and are licensed to the Client for internal use only, unless otherwise agreed in writing.

11. Liability

Cyber Rebels Protect+ provides cybersecurity awareness training, support and guidance. It does not guarantee prevention of cyber incidents.

Training and support provided under Protect+ is advisory and educational in nature and does not constitute legal, regulatory, technical or compliance assurance.

Cyber Rebels Ltd’s total liability to the Client shall not exceed the total amount paid by the Client for Protect+ services in the preceding 12 months.

Cyber Rebels Ltd is not liable for indirect or consequential losses.

12. Additional Terms

This Protect+ Agreement incorporates the Online Training Terms & Conditions and the On-Site Training Terms & Conditions, which apply to all live, virtual and on-site training sessions delivered under the Service.

These terms cover force majeure, delivery conditions, rescheduling rules, acceptable use, trainer availability and other operational requirements.

This Agreement also operates alongside all relevant Cyber Rebels Ltd policies, including the Privacy & Cookie Policy, Safeguarding Policy, Information Security Policy, and Health & Safety Policy, which apply to all services delivered under Protect+.

Copies of all relevant policies can be found at:

https://cyberrebels.co.uk/our-policies-and-terms

Where additional training sessions, workshops or services are requested by the Client outside the scope of the selected Protect+ tier, such services shall be governed by the Cyber Rebels Training Services Agreement in force at the time the booking is made, unless expressly agreed otherwise in writing.

13. Expenses for On-Site Protect+ Training

Where a Protect+ tier includes or allows on-site training sessions, reasonable travel, accommodation and subsistence expenses may be charged at cost and agreed in advance.

Mileage is charged at the prevailing HMRC rate.

14. Mutual Cooperation

Both parties agree to act reasonably and in good faith in completing any administrative, scheduling or compliance steps required for the delivery of Protect+ services.

This includes scheduling, documentation, access arrangements, attendee information, delivery requirements and any other reasonable steps required to support delivery.

15. Marketing and Case Studies

Cyber Rebels Ltd may reference the Client’s organisation name and logo to indicate that Protect+ services have been delivered, unless the Client notifies Cyber Rebels Ltd in writing that such use is not permitted.

No confidential information will ever be disclosed without permission.

16. Variation

Any material changes to pricing, payment terms or liability under this Agreement must be agreed in writing by both parties during an active minimum term.

Cyber Rebels Ltd may update pricing for Protect+ subscriptions at the end of the minimum term or prior to a renewal period, provided reasonable written notice is given to the Client.

Where a Client does not wish to continue at the updated price, they may cancel the subscription in accordance with the notice requirements set out in section 2.

17. Survival

Clauses relating to fees and payment, confidentiality, intellectual property, liability, governing law and any provisions which by their nature are intended to survive termination shall remain in effect following termination or expiry of this Agreement.

18. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under this Agreement where such failure or delay results from events beyond their reasonable control.

This includes, but is not limited to, illness, acts of God, extreme weather, power or internet outages, industrial action, government restrictions, failure of third-party platforms or other circumstances outside the reasonable control of the affected party.

Where a force majeure event occurs, the affected obligations shall be suspended for the duration of the event, and the parties will use reasonable efforts to agree an alternative delivery date where applicable.

19. Governing Law

This Agreement is governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
